Terms of Service

1. Agreement

These terms govern your use of SearchWise (the “Service”), operated by Mosquito Creek Capital Corp., a corporation based in British Columbia, Canada (“we”, “us”). By creating an account or using the Service, you agree to these terms and to our Privacy Policy. When you accept these terms at signup, we record the date, the document versions you accepted, and your IP address and browser information. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Service. The Service is intended for business use. Access may be limited or by invitation during early-access periods, and we may change the availability or features of the Service as described in these terms.

3. Your account

Keep your credentials secure. You are responsible for all activity under your account. You agree to provide accurate information when creating and maintaining your account.

4. Plans, payment, and renewal

Free plan. The free plan includes a small, one-time allowance of AI usage and a limited number of deals. It requires no payment card. We may change what the free plan includes, or discontinue it, at any time.

Paid plans. Paid plans are billed in advance for the term you choose (such as 1, 3, 6, or 12 months) in US dollars. Prices are shown on our pricing page and at checkout. Every term renews automatically at the end of its period and your payment method on file is charged for each new term until you cancel. For multi-month terms we email you a reminder before each renewal (30 days before a 12-month renewal, 7 days before a 3- or 6-month renewal). You can cancel the renewal at any time from your billing page; your plan then stays active until the end of the period you already paid for. Prepaid amounts are non-refundable; a canceled plan runs to the end of its paid period.

Extra usage. Paid subscribers can buy additional usage as one-time purchases. Purchased usage is consumed after your plan's included usage, expires 12 months after purchase, and is non-refundable.

Price changes. If we change the price of a paid plan, we will notify affected subscribers at least 30 days before the new price applies to their renewal. Continued renewal after the change takes effect constitutes acceptance of the new price.

Failed payments. If a renewal charge fails, we and our payment processor will retry it and contact you for roughly two weeks. Your plan stays active during that window; if payment cannot be collected, your subscription is canceled and your account moves to the free plan's limits. You can still sign in, and your data is not deleted.

Taxes. Prices do not include applicable taxes. You are responsible for any taxes that apply to your purchases; where we are required to collect them, they will be added at checkout.

5. Your content

You retain ownership of the information you submit to the Service, including profile details, search criteria, deal information, notes, and uploaded documents. You grant us a limited license to host, process, display, and transmit that content, including through the third-party service providers named in our Privacy Policy, solely to provide and improve the Service for you. We do not share your content with other users.

6. Responsibility for what you upload

You are responsible for having the right to upload and process the material you submit. Deal documents such as confidential information memoranda (CIMs) and financial statements are often covered by confidentiality agreements: it is your responsibility to ensure your use of the Service is consistent with any NDA or other obligation you have to the parties those documents concern, including any personal information about third parties they contain. We host and process your uploads privately for your account and do not distribute them.

7. Aggregated insights

We may create, publish, or sell aggregated, de-identified insights (such as market trends or benchmark statistics) derived from how our customers use the Service. These insights never identify you, your deals, or the businesses you evaluate.

8. AI-generated outputs

The Service uses artificial intelligence to extract, summarize, and score deal information. AI-generated outputs, including fit scores, analyses, and extracted facts, are for informational purposes only. They may be incomplete or wrong, and they are not financial, investment, legal, accounting, or tax advice. You are responsible for independently verifying any information you rely on in a transaction.

9. Acceptable use

You agree to use the Service only for lawful purposes, and not to:

• upload or process content that is illegal (including, without limitation, any content that exploits or endangers minors), that infringes another's intellectual-property rights, or that you have no right to use;
• attempt to access other users' data, probe or circumvent security or usage limits, or interfere with the operation of the Service;
• upload malicious code, or use the Service to generate or distribute malware, spam, or deceptive content;
• scrape the Service, resell access to it, or use it to build a competing dataset or service;
• misrepresent your identity or affiliation when using the Service.

We may suspend or terminate accounts that violate this section. Where the law requires, we preserve and report illegal material to the appropriate authorities.

10. Termination and deletion

You may stop using the Service or delete your account at any time from your account settings. Deletion starts a 30-day recovery window, after which your account and data are permanently deleted. We may suspend or terminate your access for violations of these terms, with notice where practicable. If we terminate a paid account without cause, we will refund the unused portion of your prepaid term; termination for cause is non-refundable.

11. Disclaimers

The Service is provided “as is” and “as available”, without warranties of any kind, express or implied, including fitness for a particular purpose, merchantability, and non-infringement. We do not guarantee that the Service will be uninterrupted, error-free, or that any output will be accurate.

12. Limitation of liability

To the maximum extent permitted by law, our total liability for any claims arising out of or relating to the Service is limited to the greater of the fees you paid us in the 12 months before the claim and CAD $100. We are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data.

13. Changes to these terms

We may update these terms from time to time. When we do, we update the date at the top of this page. For material changes we will give you notice by email or in the app before they take effect; for changes that restructure the contractual terms themselves, we will ask you to accept the new terms before continuing to use the Service. Your continued use after a change takes effect constitutes acceptance.

14. Governing law

These terms are governed by the laws of British Columbia and the federal laws of Canada applicable there. Any dispute will be resolved in the courts of British Columbia, and you consent to their exclusive jurisdiction.
