Terms of Service

1. Agreement
These terms govern your use of SearchWise (the “Service”), operated by Mosquito Creek Capital Corp., a corporation based in British Columbia, Canada (“we”, “us”). By accessing or using the Service, you agree to these terms. If you do not agree, do not use the Service.
2. Eligibility and access
You must be at least 18 years old to use the Service, which is intended for business use. The Service is currently in a limited-access period and access may be by invitation only. We may change the availability, features, or pricing of the Service at any time.
3. Your account
You are responsible for keeping your account credentials secure and for all activity under your account. You agree to provide accurate information when creating and maintaining your account.
4. Your content
You retain ownership of the information you submit to the Service, including profile details, search criteria, deal information, notes, and uploaded documents. You grant us a limited license to host, process, display, and transmit that content solely to provide and operate the Service, including processing by the third-party providers described in our Privacy Policy. You are responsible for ensuring you have the necessary rights to the content you upload. We do not share your deal content with other users.
5. Aggregated insights
We may create and publish aggregated, de-identified insights derived from use of the Service — such as market trends and benchmarks — provided they do not identify you, your deals, or any counterparty.
6. AI-generated outputs
The Service uses artificial intelligence to extract, enrich, score, and analyze the information you provide. Scores, analyses, predictions, and other AI-generated outputs are informational tools only. They may be inaccurate or incomplete, they are not financial, investment, legal, tax, or accounting advice, and they are not a recommendation to pursue or avoid any transaction. You are solely responsible for your decisions, including independently verifying information before acting on it.
7. Acceptable use
You agree to use the Service only for lawful purposes. You may not interfere with or disrupt the Service, attempt to access data belonging to other users, circumvent usage limits or security measures, scrape or harvest data from the Service, resell the Service, or upload content that is unlawful or that you do not have the right to use.
8. Fees
The Service is currently offered without charge during its limited-access period. Paid plans may be introduced; pricing and payment terms will be presented to you before you are charged.
9. Termination
You may stop using the Service or request deletion of your account at any time. We may suspend or terminate your access if you violate these terms or if necessary to protect the Service or its users, with notice where practicable.
10. Disclaimers
The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.
11. Limitation of liability
To the maximum extent permitted by law, our total liability arising out of or relating to the Service is limited to the greater of the amounts you paid us in the twelve months preceding the claim and CAD $100. We are not liable for indirect, incidental, special, consequential, or exemplary damages, or for lost profits, lost data, or lost business opportunities.
12. Changes to these terms
We may update these terms from time to time. We will update the date at the top of this page, and for material changes we will provide notice by email or within the Service. Continued use of the Service after changes take effect constitutes acceptance of the updated terms.
13. Governing law
These terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable in it. Any dispute arising from these terms or the Service will be subject to the exclusive jurisdiction of the courts of British Columbia.
